Board of Advisors Biographies


Mr. Helm provides Dividend Health expert advice related to national health and welfare matters and the affects of the ACA. As Director of Employee Benefit Innovation for Bearence Management Group, Mr. Helm is responsible for the development and implementation of employee benefit programs and services for Bearence clients. This includes services that assist clients comply with Health Care Reform and manage costs more effectively. In addition, Mr. Helm educates internal staff and clients through seminars on Health Care Reform and provides advice on health care financing alternatives. Currently, he is working on the development of two new health care platforms that will assist clients with compliance and provide health care and benefit cost savings.

Mr. Helm started with Bearence Management Group in January of 2005 as an Employee Benefit Consultant and Office Head for the Minneapolis/St. Paul, MN office.  His other activities include sales and consulting with organizations concerning employee benefits, administration outsourcing, and human resource outsourcing, and retirement plan funding and services.   In addition, Mr. Helm has specialty expertise in the areas of voluntary benefits for large employers, multiple employer plan arrangements, and association/affinity organizations. 

Previously, Mr. Helm was at Mercer and Marsh McLennan as a Vice President and Employee Benefits Consultant for one of the world’s largest insurance brokerage firms at their Minneapolis office for 10 years.  In this previous position, Mr. Helm worked with a variety of organizations mainly in the midsize employer market consulting and advising employers concerning fully insured and self-funded health plan options, HMO/PPO/HSA comparison and plan design implementation, and employee benefit administration outsourcing. In addition, Mr. Helm worked with a number of associations/affinity, and multiple Employer plan groups concerning the development of health & employee benefit plan offerings to their membership.

Mr. Helm is a graduate of St. Cloud State of Minnesota with a B.A. degree.  He currently holds a health/life & accident license in the following states; Arizona, California, Minnesota, Oklahoma, Pennsylvania, New York, Wisconsin, North Dakota, North Carolina, Missouri, Texas, Illinois, Virginia and Washington DC.  In addition, Mr. Helm has attained a MHP (Managing Healthcare Professional) designation from the Health Insurance Association of America.


Mr. Wambsganss provides Dividend Health legal advice. He serves as counsel for multiple domestic and international companies. Mr. Wambsganss is involved in domestic and international business transactions and litigation including among others: mergers and acquisitions, real estate transactions, oil/gas, governmental relations, public law issues, labor/employment disputes, commercial litigation and church/non-profit organization related transactions. Mr. Wambsganss is also a certified mediator.

Mr. Wambsganss’ has experience in the following areas including Federal Bureau of Investigation, Legal Counsel Division; Mayor of Southlake, Texas; Mayor Pro Tem, Southlake, Texas; City Council, Southlake, Texas; Judge, Southlake, Texas; and President, Southlake Crime Control & Prevention District.

Dr. Nichol provides Dividend Health medical advice from an expert physician perspective. He served as medical director for numerous Hospital emergency room departments throughout his career. At North Ridge Medical Center he served on the Medical Executive Committee and as the Emergency Department Medical Director for 17 years, chairman of P&T for 6 years, and member of peer review for 8 years. Dr. Nichol also served on the Broward County Trauma Oversight Committee for 3 years and on the Trauma Services Quality Improvement Committee for 6 years. Additionally, Dr. Nichol owned the Emergency Room contracts for North Ridge Medical Center, Hollywood Medical Center, Wuesthoff Medical Center – Rockledge, Wuesthoff Medical Center – Melbourne, and Jefferson Regional Medical Center. He served as an Oral Board Examiner for the BCEM emergency medicine boards.

Dr. Nichol maintains the following Certifications and affiliations: Board Certified Family Practice, Board Certified Emergency Medicine, American Heart Association (Affiliate Faculty), Certified: Basic Life Support, Advanced Cardiac Life Support, Pulmonary Advanced Life Support, and Advanced Trauma Life Support. He is a member of: American Academy of Family Practice, American College of Emergency Physicians, American Association of Physician Specialists, Broward County Medical Association, Florida Medical Association, and American Heart Association. Dr. Nichol’s education consists of: University of Arkansas (B.A. in Zoology with Honors 1979); University of Arkansas Medical Sciences Center (M.D. 1983); University of Arkansas Medical Center – AHEC, Pine Bluff (Residency in Family Practice 1986).


Mr. Merrill provides Dividend Health financial and tax advice. He specializes in tax and financial consulting services including mergers and acquisitions, and life and health insurance consulting. His past positions include President of America’s Insurance Consultants; President of American Business Management; President, CEO and Director of United Benefit Managed Care Corp.; CEO & Director of American Service Life Insurance Company; Vice President of Finance & Treasurer of Paul R. Ray & Co.; Partner of Crabtree, Merrill, Lotz, Carter & Co.; and Senior Supervisor at Weaver & Tidwell.

Mr. Merrill has expertise in management, financial and administrative matters concerning insurance agencies, associations, telemarketing and insurance companies. He has been instrumental in the process of forming several insurance companies, insurance agencies, enrollment centers, holding companies and subsidiaries. He also has experience in negotiating purchases of insurance company subsidiaries, led private placement with investment bankers, negotiates debt financing and was played a large part in growing United Benefit Managed Care Corp. revenues to $140 million. He also negotiated reinsurance transactions and the sale of its subsidiary. As a Partner in various accounting practices Mr. Merrill acted as head audit partner, conducted financial accounting seminars for other CPAs and participated in numerous merger and acquisition activities.
